Agenda - General

Sponsorship Process

Yi Sheng asked about the internal process for obtaining corporate sponsorship (e.g., if their company wanted to support Ruby NZ). Specifically, what the process involves regarding certificates, website updates, etc.

Nick noted that sponsorship has historically been event-based (e.g., meetups or the Ruby Retreat) rather than for Ruby NZ as a whole. Given the current healthy bank balance, he questioned if general sponsorship is currently needed.

Michael confirmed that for the Ruby Retreat, he specifically sought event sponsorship to cover costs, with any surplus going to the Ruby NZ society.

Tim recalled that past retreats had different sponsorship levels (e.g., sponsoring specific items like “cheese”). Sponsors were thanked at the event and featured on the website. He noted that Philip Arndt would have more detailed historical information.

Jonathan added that budgets were often catered based on the level of sponsorship received, determining the quality and scope of the retreat. Sponsors were recognized on the website and during the event. It was generally a matter of seeing what could be done with the amount a company was willing to contribute.

Meetup Funding

Yi Sheng inquired whether there is a central fund for meetups or if organizers handle it themselves.

Nick explained that organizers generally handle their own funds, though Ruby NZ supports them when requested (e.g., paying Wellington’s Meetup.com fees).

Michael mentioned that the Auckland meetup received leftover drinks from the Ruby Retreat.

Tim noted that the Christchurch meetup recently requested funds for end-of-year drinks.

Administrative Access

Yi Sheng sought confirmation on whether outgoing members still need 1Password access.

Michael confirmed it is no longer needed.

Tim suggested it might be beneficial for Philip to retain access for the remainder of the year. Yi Sheng agreed.

End-of-Year Events

Nick asked for ideas for activities this year.

Jonathan suggested organizing Christmas/end-of-year events across New Zealand to maintain community engagement.

Tim agreed, noting it’s a nice gesture that helps keep in touch with various meetups and is relatively easy to manage and budget once a year.

Jonathan emphasized that contributing to food (e.g., pizza) helps attract more people.

Yi Sheng asked for clarification on what these “Christmas things” entail.

Nick explained they are contributions to the final meetup of the year.

Tim described the Christchurch approach: board games, snacks, and non-alcoholic drinks in an informal setting.

Michael noted that Auckland usually has its last meetup in November, skipping December and January, but he is open to new ideas.

Nick mentioned that Jordan is finishing up this year and offered to help organize something if requested. It doesn’t have to be Christmas-themed; “end of year” works as well.

Nick tasked the committee with gauging interest and figuring out a budget. Michael and Yi Sheng will discuss this with Juri at the next Auckland meetup. Tim will look into the budget, and Nick will message Jordan once a rough budget is established.

Ruby Retreat

Nick asked for status updates. Philip (via Slack) reported no current updates and expressed doubt about having time to organize one this year, but invited others to step forward if they are excited about it (e.g., a “Cheeseman Retreat”).

Banking Transition

Nick inquired about the status of bank account access, referencing a Slack thread where costs were approved to facilitate a face-to-face meeting for the transfer of ownership if necessary.

Tim reported that Philip and Pete currently have access. He plans to meet with Philip to start the transfer process, which is known to be quite involved. The goal is to have it sorted by the next AGM.


Agenda - AGM Matters

Next AGM Date

Yi Sheng proposed confirming the next AGM date. Michael noted it is usually held at the Ruby Retreat if one occurs. Nick invited Yi Sheng (as Secretary) to propose a date based on past AGM timing.

Election Procedures

Nick clarified the election process:

  • Members vote for the Committee, not individual roles like Chair/Secretary/Treasurer.
  • The new Committee elects a Chairperson and a “contact person” from among their members (per the constitution).
  • Secretary and Treasurer roles are designated by the committee in practice, though not explicitly in the constitution.

Tim noted that being nominated for a specific role can be encouraging for candidates. Jonathan added that the committee should be aware of who is interested in which roles.

Procedural clarifications:

  • Nominations do not need to be seconded.
  • Nominees must state they are eligible for election.

Nick will create a wiki/GitHub resource to codify these election processes, including templates for nominations and Google Forms.

Nick also proposed using two non-committee volunteers as scrutineers. The Secretary would provide them access to the voting Google Form results, and they would inform the Secretary of the 3-8 nominees with the most votes during the AGM. Michael confirmed this is practical and consistent with past use of Google Forms and membership tokens.

Proposed Motions for Quorum

Nick introduced two motions for the next meeting aimed at reaching quorum more effectively:

  1. Shorten the quorum cutoff: Reduce the wait time from 30 minutes to 15 minutes. Jonathan agreed this was reasonable.
  2. Annual Member Detail Confirmation: Require members to confirm their details annually. Failure to do so would result in cessation of membership, ensuring an accurate member count for quorum calculations.

Nick acknowledged the second motion is higher risk as it might shrink the membership base. Tim noted that they were only one person short at the last AGM, likely due to poor timing (Mother’s Day). Since the second meeting doesn’t require quorum, the committee decided to skip the second motion for now and focus on better timing (avoiding holidays).

Election Buddy

Yi Sheng recommended decommissioning Election Buddy as it will start charging on August 31st and has an active credit card attached. The society has been using Google Forms instead. Michael and Jonathan supported this. Nick noted that such administrative decisions can be finalized via Slack.
